1. Acceptance of Terms

By accessing or using LexPatra ("Platform"), operated by M & D Law Associates LLP, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. "Services" refers to all three sub-platforms: Draft Sahayak (Expert Drafting), AI Sahayak (AI-Powered Tools), and Documents Sahayak (DIY Document Generation).

2. Eligibility

You must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872. By using the Platform, you represent and warrant that you meet these requirements.

3. Account Registration

3.1 You must provide accurate, complete, and current information during registration.

3.2 You are responsible for maintaining the confidentiality of your account credentials.

3.3 You are responsible for all activities under your account. Notify us immediately of any unauthorised access.

3.4 We reserve the right to suspend or terminate accounts that violate these terms or are involved in fraudulent activity.

4. Services Description

4.1 Draft Sahayak (Expert Drafting): Legal documents drafted by practising advocates of M & D Law Associates LLP. This constitutes professional legal service and is subject to advocate-client privilege. Delivery timelines are indicative and may vary based on complexity.

4.2 AI Sahayak (AI-Powered Tools): AI-assisted tools for legal research, analysis, and content generation. AI-generated outputs are for informational and assistance purposes only and do not constitute legal advice. All AI outputs should be reviewed by a qualified legal professional before use.

4.3 Documents Sahayak (DIY Document Generation): Self-service document generation from templates. Documents are generated based on information you provide. We do not verify the accuracy or completeness of the information you enter. Generated documents are templates and may require customisation for specific legal jurisdictions or circumstances.

5. Credits System

5.1 Services are accessed through prepaid credits purchased via the Platform.

5.2 New users receive 10 free credits upon registration. Six tools are permanently free.

5.3 Credits are non-transferable and non-refundable except as provided in our Refund Policy.

5.4 Credits do not expire.

5.5 Credit costs for specific tools and documents are displayed before use. By proceeding, you authorise the deduction of the stated credits from your balance.

6. Intellectual Property

6.1 The Platform, its design, code, content, logos (including the LexPatra mark), and all proprietary materials are the intellectual property of M & D Law Associates LLP.

6.2 Document templates and their underlying structure are proprietary. You receive a limited, non-exclusive, non-transferable licence to use generated documents for your personal or business purposes.

6.3 You may not reproduce, distribute, modify, or create derivative works from the Platform's templates, tools, or content without written permission.

6.4 Documents generated through Draft Sahayak (expert drafting) become your property upon full payment and delivery.

7. User Obligations

You agree not to: use the Platform for any unlawful purpose; submit false, misleading, or fraudulent information; attempt to reverse-engineer, decompile, or extract source code from the Platform; circumvent security measures, copy-protection mechanisms, or credit systems; use automated tools, bots, or scrapers to access the Platform; share your account or credentials with third parties; reproduce or redistribute generated documents commercially without authorisation.

8. Limitation of Liability

8.1 DIY Documents: Documents generated through Documents Sahayak are based on general templates. They may not address jurisdiction-specific requirements, recent amendments, or the specific nuances of your legal situation. We strongly recommend having all documents reviewed by a qualified legal professional before execution.

8.2 AI Tools: AI-generated outputs may contain errors, omissions, or inaccuracies. They do not constitute legal advice and should not be relied upon as such.

8.3 Expert Drafting: Draft Sahayak services are rendered by practising advocates to the best of their professional ability. The outcome of any legal proceeding is not guaranteed.

8.4 To the maximum extent permitted by law, LexPatra and M & D Law Associates LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

8.5 Our total liability in any matter shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless M & D Law Associates LLP, its partners, associates, employees, and agents from any claims, damages, losses, or expenses arising from: your violation of these terms; your use of the Platform; any document generated using information you provided; any third-party claims arising from your use of generated documents.

10. Termination

10.1 You may deactivate your account at any time by contacting us.

10.2 We may suspend or terminate your account for violation of these terms, with or without notice.

10.3 Upon termination, your right to use the Platform ceases. Unused credits are handled per our Refund Policy.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on the Platform. Continued use after notification constitutes acceptance.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts at Chandigarh/Panchkula, Haryana, India.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
